Partner at Fox Rothschild, Timothy Scallen is co-chair of the firm’s Mergers & Acquisitions group. 

Scallen has observed a trend in M&A over the past couple of years. “The level of diligence by buyers in transactions has increased significantly in the last 18 months or so,” Scallen said. “I’m seeing an extensive use, not only of legal diligence, but third-party diligence providers such as environmental consultants, benefits consultants, insurance consultants, etc. So, there has been a lot of additional diligence coming into these transactions, which has made the transactions longer and more labor-intensive as a result of that.”

With more than 30 years of experience, Scallen uses the insider perspective he acquired as former general counsel for Wayzata Investment Partners LLC to advise his clients. Institutional clients include big names such as Ecolab, The Toro Co., Honeywell International and Imation Corp. 

According to the firm website, Scallen has served as lead outside counsel for Ecolab in the simultaneous acquisition of four pest elimination businesses for an aggregate value of around $115 million, as well as for Toro in its $700 million acquisition of Ditch Witch.

While his practice keeps him busy, he prioritizes work/life balance. “I have established fixed personal time and I do not impede on that time,” Scallen explains. “For example, I schedule workouts at 6:15 or 6:30 in the morning and stick to them, and then I prioritize work after those workouts. This is what I am trying to do as a tool to manage the work/life balance.”

Scallen also has a variety of interests outside of being an attorney, including an enjoyment of both Notre Dame football and Broadway musicals.
