What are the biggest challenges you currently see in the M&A world?

M&A transactions in 2024 continued to be impacted by election and economic uncertainty. Buyers are getting creative with financing and structure in order to get deals done. Hot topics include reps and warranty insurance and post-closing indemnification.

Without revealing the names of a client, what is the most interesting transaction you’ve worked on lately?

My M&A practice focuses heavily on fuel distribution and convenience stores. Many of the companies I work with have been family owned for three or four generations. These transactions are always “interesting” because the lawyer’s role is to not only advise on the legal and business terms, but also help manage the complex dynamics that come from family ownership.

How do you manage work/life balance?

Finding a way to unplug and relax is important. I love to travel, so whether it’s escaping for a warm winter getaway or spending a long weekend at the lake in the summer, I try to take time to recharge.

What is one thing you would change about Minnesota if you could?

Mosquitos – our summer nights are so precious, but those pesky creatures interfere with opportunities to be outside.

What’s something most people don’t know about you?

I love photography. I don’t consider myself to be particularly artistic, but photography allows me to capture special moments and special places.
